Scope of application

Domaine de la Chapelle (hereinafter collectively referred to as the "Seller" or "Domaine de la Chapelle"), whose contact details and identification details are set out below under the heading "Legal information", has set up an e-commerce service available on the Internet at the following address: www.domaine-de-la-chapelle.com (hereinafter referred to as the "Site") intended for consumer customers (hereinafter referred to as the "Customer(s)"), i.e. any natural person acting for purposes that do not fall within the scope of their commercial, industrial, craft, liberal or agricultural activity.

Acceptance of these terms and conditions

In the absence of specific stipulations agreed in writing between the parties, all orders placed on the Site are automatically subject to these general terms and conditions of sale, which prevail over any other document, such as prospectuses, press releases, catalogs or e-mailings issued by the Seller, which are for information purposes only.

Any use of the Site and/or placing of an order implies having first consulted and accepted these general terms and conditions of sale in their entirety.

Domaine de la Chapelle reserves the right to adapt or modify these terms and conditions of sale at any time. In the event of modification, the general conditions of sale in force on the day of the order will be applied to each order.
The fact that Le Domaine de la Chapelle does not avail itself of any provision of these terms and conditions of sale or of any right shall not be construed as a waiver of the right to avail itself of such provision or right at a later date.

Offers / Prices / Orders

All our wine offers are valid while stocks last, excluding promotions, special offers and gifts. In the event of stock depletion, Domaine de la Chapelle will endeavour to indicate this and/or to make the purchase of the wine concerned impossible. Despite all the precautions taken, it may exceptionally happen that a wine ordered is no longer available. In such a case, Domaine de la Chapelle will immediately inform the customer, who will be reimbursed in full using the same means of payment. Our offers are exclusively reserved for consumer customers, and under no circumstances for professional resellers.

After having familiarized themselves with the products offered on the Site and, if necessary, having contacted Domaine de la Chapelle customer service, the Customer is invited to add one or more products to their virtual basket. By consulting the virtual basket, the customer can access a summary of his/her order (product reference, quantities, unit price, price inclusive of tax, etc.) so that he/she can modify it if necessary. The Customer is then invited to select the delivery method of their choice from among those proposed (delivery time, method, price, etc.), to enter their delivery and invoicing addresses, to use any promotional codes they may have, and to proceed with payment after accepting the present general terms and conditions of sale. A confirmation message summarizing the essential characteristics of the order and containing (or allowing the customer to download or print) the present terms and conditions of sale will then be sent to the customer (failing this, the customer is invited to contact Le Domaine de la Chapelle using the contact details specified below under the heading "Legal information"). Orders are not final until full payment for the goods has been received.

Prices are given in Euros, inclusive of all taxes. In the event of an abnormally low price being indicated due to a technical or human error, Le Domaine de la Chapelle reserves the right to ask the customer to supplement the price already paid or to allow the customer to cancel the order by reimbursing all sums already paid. Domaine de la Chapelle may organize various promotional operations, in particular in the form of price-cut advertisements, notably as part of private sales. The advertisements are based on reference prices established in accordance with current regulations.

Terms and conditions of payment

Payment for goods must be made in full when the order is placed, either by cheque made payable to Domaine de la Chapelle, or by credit card such as Carte Bleue, Visa, Eurocard Mastercard, American Express, or by bank transfer to our bank account with the following references:

Available wines

An invoice will be issued by Le Domaine de la Chapelle and sent to the customer's billing address. For orders of more than 18 75cl bottle-equivalents delivered at once to an address in mainland France, delivery is free of charge. For orders of less than 18 75cl equivalent bottles, a contribution to transport costs of 15 euros (incl. VAT) will be charged for orders of 1 to 6 equivalent bottles, and 10 euros for orders of 7 to 17 equivalent bottles.

Deliveries

Deliveries are made according to the terms (address, price, etc.) agreed at the time of order. Goods are insured by us during transport in mainland France and travel at our own risk. Our deliveries are made within a maximum of 30 working days from receipt of full payment of the final invoice, it being specified that any delivery time of less than 30 working days that may be indicated on the Site is purely indicative and shall not be binding on Domaine de la Chapelle. If the delivery period of 30 days is not respected, except in the case of force majeure, the Customer may cancel the contract by registered letter with acknowledgement of receipt or by writing on another durable medium, if, after having enjoined Domaine de la Chapelle to make the delivery within a reasonable additional period, Domaine de la Chapelle has not complied within this period. The customer may immediately cancel the order if the deadline was an essential condition of the contract. This essential condition results from the circumstances surrounding the conclusion of the contract or from an express request by the Customer before the conclusion of the contract. To do this, he must send his cancellation by registered letter with acknowledgement of receipt to the following address: Domaine de la Chapelle, 5 rue du Puy, 37500 Cravant-les-Côteaux. The customer will obtain restitution of his payment, to the exclusion of any other indemnity or damages, at the latest within 14 days of the date on which the contract was cancelled. Domaine de la Chapelle cannot be held responsible for the impossibility of delivering the goods at the right place and time in the event of an error in the information supplied by the customer. On receipt of the goods, it is the responsibility of the recipient to check the condition of the goods and to make any necessary observations in the event of breakage, damage or shortages, by expressing his reservations on the delivery slip, and within three days (not including public holidays) of receipt, by registered letter with acknowledgement of receipt to the carrier, with a copy to the Vendor, in order to preserve his rights. In the event of failure to collect the goods within a maximum period of 2 months following the date on which the goods were made available, Domaine de la Chapelle will be entitled to invoice additional storage costs at the rate of 12 Euros (including VAT) per box and per month of delay.

Right of withdrawal

You have the right to withdraw from this contract without giving any reason within fourteen days. The withdrawal period expires fourteen days after the day on which you, or a third party other than the carrier and designated by you, takes physical possession of the goods. The customer may also, at his express written request, exercise his right of withdrawal from the date of conclusion of the contract. In the case of a contract for several goods ordered in a single order and if these goods are delivered separately, the period expires fourteen days after the day on which you, or a third party other than the carrier and designated by you, takes physical possession of the last good. In the case of a contract for the regular delivery of goods over a specified period of time, the period expires fourteen days after the day on which you, or a third party other than the carrier and designated by you, takes physical possession of the first good.

For the withdrawal period to be respected, it is sufficient for you to send your communication relating to the exercise of the right of withdrawal before the expiry of the withdrawal period.

By way of exception, these provisions do not apply to contracts listed in articles L.221-2 and L.221-28 of the French Consumer Code, and in particular: orders for products that have been customized or specifically requested by the customer at the time of ordering (special formats, customized packaging, etc.), orders for alcoholic beverages, etc.), orders for alcoholic beverages whose delivery is deferred beyond thirty days and whose value agreed at the conclusion of the contract depends on market fluctuations beyond the control of Domaine de la Chapelle, or orders for goods which have been unsealed by the consumer after delivery and which cannot be returned for reasons of hygiene or health protection (e.g.: en primeur wines).

Effects of withdrawal: In the event of your withdrawal from this contract, we will refund all payments received from you, including delivery costs (with the exception of additional costs arising from the fact that you have chosen, where applicable, a delivery method other than the less expensive standard delivery method offered by us) without undue delay and, in any event, no later than fourteen days from the day on which we are informed of your decision to withdraw from this contract. We will make the refund using the same means of payment you used for the original transaction, unless you expressly agree to a different method; in any event, the chosen method of refund will not incur any costs for you. We may defer reimbursement until we have received the goods or until you have provided proof of dispatch of the goods, whichever is the earlier.

You must return the goods to the address shown on the header of your Domaine de la Chapelle invoice without undue delay and, in any event, no later than fourteen days after you have informed us of your decision to withdraw from this contract. This period is deemed to have been respected if you return the goods before the fourteen-day period has expired.

You must bear the direct cost of returning the goods.

The Customer shall only be liable for any depreciation of the goods resulting from handling other than that necessary to establish the nature, characteristics and proper functioning of the goods.


Product exchange

If the products ordered are out of stock, Domaine de la Chapelle may, with the customer's agreement, offer to replace them with another vintage or an equivalent wine.

Retention of title clause

By express agreement, all our goods remain our property wherever they may be until full payment of invoices due. This does not preclude the transfer of risk to the customer upon delivery of the goods.

Legal warranties

Consumers have a period of two (2) years from the date of delivery of the goods in which to invoke the legal warranty of conformity in the event of a lack of conformity existing at the time of delivery of the goods. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date of its appearance (this period is twelve (12) months for second-hand goods). The legal guarantee of conformity entitles the consumer to repair or replace the good within thirty (30) days of his request, free of charge and without any major inconvenience for him. If the good is repaired under the legal warranty of conformity, the consumer benefits from a six (6) month extension of the initial warranty. If the consumer requests repair of the good, but the seller requires replacement, the legal warranty of conformity is renewed for a period of two (2) years from the date of replacement of the good. The consumer may obtain a reduction in the purchase price by keeping the good, or terminate the contract by obtaining a full refund against return of the good, if :

  • 1° The trader refuses to repair or replace the good;

  • 2° The goods are repaired or replaced within thirty (30) days;

  • 3° The repair or replacement of the good causes a major inconvenience for the consumer, in particular when the consumer definitively bears the cost of taking back or removing the non-conforming good, or if he bears the cost of installing the repaired or replacement good;

  • 4° The non-conformity of the goods persists despite the seller's unsuccessful attempt to bring them into conformity. The consumer is also entitled to a reduction in the price of the goods or to rescission of the contract where the lack of conformity is so serious as to justify immediate reduction in the price or rescission of the contract. In such cases, the consumer is not obliged to request repair or replacement of the goods beforehand. The consumer is not entitled to have the sale rescinded if the lack of conformity is minor. Any period of immobilization of the good with a view to its repair or replacement suspends the warranty which remained in force until the delivery of the reconditioned good. The rights mentioned above result from the application of articles L. 217-1 to L. 217-32 of the French Consumer Code. Any seller who obstructs the implementation of the legal guarantee of conformity in bad faith is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of average annual sales (article L. 241-5 of the French Consumer Code). The consumer is also covered by the legal warranty for hidden defects under articles 1641 to 1649 of the French Civil Code, for a period of two (2) years from the discovery of the defect. This warranty entitles the consumer to a price reduction if the good is kept, or to a full refund in exchange for the return of the good.

Customers wishing to exercise one of the aforementioned legal guarantees are invited to send a written request to Domaine de la Chapelle using the contact details specified below under the heading "Legal information". All returns are subject to the prior agreement of Domaine de la Chapelle. In the event of a return, the returned products must be accompanied by all their accessories, the purchase invoice, be perfectly protected and sent by post, at the Customer's risk, to the address specified below under the heading "Legal information". The exercise of these warranties is free of charge for the Customer, provided that the Customer is entitled to claim the benefit of these warranties.

Resolving the contract

In the event of non-payment by the Customer or withdrawal of the goods on the agreed due date, and one month after a formal notice has been served without result, the sale will be cancelled by operation of law at the discretion of Domaine de la Chapelle, with the return of any advance payments made by the Customer, less the costs of immobilization and management incurred by the Vendor and late payment penalties, and the possibility for the Vendor to request, in summary proceedings, the return of any products already delivered, without prejudice to other damages.

Liability

In the absence of any legal provision to the contrary, Domaine de la Chapelle shall not be held liable for any indirect damage caused by its actions or by the products marketed on the Site, or for any damage of any kind resulting from the unavailability of the Site. Domaine de la Chapelle will also be exonerated from all or part of its liability in the event that it can prove that the alleged damage was caused by the victim or a third party, or in the event of force majeure as defined by article 1218 of the French Civil Code. In addition, the parties acknowledge that the following events will automatically be assimilated to cases of force majeure insofar as they are beyond the reasonable control of Domaine de la Chapelle, and despite the fact that they do not meet all the conditions laid down by case law: strikes (announced or not) affecting the performance, by Domaine de la Chapelle and/or its own suppliers, of their contractual obligations, contractual non-performance on the part of Domaine de la Chapelle resulting from its suppliers (late delivery by the supplier...) or its transporters (delay, loss of merchandise...), difficult climatic conditions (frost, bad weather...) as well as any event beyond the control of Domaine de la Chapelle which renders impossible or calls into question the financial equilibrium existing on the day the order is placed.

Amicable settlement of disputes

In the event of difficulties in applying these general terms and conditions of sale, we invite you to seek an amicable solution by first contacting our Customer Service department using the contact details specified below in the "Legal information" section. In accordance with the provisions of articles L 611-1 and R 612-1 et seq. of the French Consumer Code concerning the amicable settlement of disputes, if you have sent a written complaint to the professional and have not received satisfaction or a reply within two months, you may submit your complaint free of charge to the consumer ombudsman. The mediator must be contacted within one year of the initial complaint. Applicable law and jurisdiction

These general terms and conditions of sale are governed by French law. Should any clause of these general terms and conditions of sale be null and void, this shall in no way affect the validity of and compliance with these general terms and conditions of sale. In the event of any dispute arising out of or in connection with the placing or execution of an order, the competent French court will be designated in accordance with the rules of common law.

Protection of minors

In accordance with article L. 3342-1 of the French Public Health Code, the sale of alcoholic beverages to minors is prohibited. The Customer declares and undertakes to be at least 18 years of age on the date of the order.

Health warning

Alcohol abuse is dangerous for your health, and should be consumed in moderation.

Visuals

The photos on the Site are provided for illustrative purposes only and are not contractually binding. Please refer to the description of each product for its precise characteristics.

File protection and intellectual property

In accordance with the provisions of law no. 98-536 of July 1, 1998, transposing directive 96/9/CE of March 11, 1996, concerning the legal protection of databases, Le Domaine de la Chapelle is the producer and owner of all or part of the databases making up this Site. Furthermore, all content on this site (text, images, photos, graphics, logos, icons) is protected by copyright. Any use or reproduction, even partial, of the Site or its contents is strictly forbidden, unless expressly authorized by its author.

3. PERSONAL DATA COLLECTED

The main purpose of collecting and processing Personal Data on the Site is to enable the management of Your orders. The collection and transmission of certain Personal Data is compulsory, while others are optional, and are indicated as such on the collection forms available on the Site. 4. THE RECIPIENTS OF YOUR PERSONAL DATA

5. RETENTION OF PERSONAL DATA


Your Personal Data is collected and processed by Domaine de la Chapelle for the time necessary to carry out the processing operations referred to in paragraph 2 of this Privacy Policy.


- Visitors' and Prospects' Data : Prospects' Data is kept in current archives (i.e. accessible in a current manner by the relevant Domaine de la Chapelle departments) for 3 years from the prospect's last contact.

A "contact" includes logging into a customer account, consulting a product sheet, adding a product to the basket, searching for a product on the Site, clicking on a link contained in the Domaine de la Chapelle newsletter or in an e-mail sent by Domaine de la Chapelle, or taking part in a competition organized by Domaine de la Chapelle. At the end of this 3-year period, Le Domaine de la Chapelle may contact the Prospect again to find out whether he/she wishes to continue receiving commercial solicitations. In the absence of a positive and explicit response from the Prospect, the data will be archived in accordance with the provisions in force, and in particular those set out in the French Commercial Code, the French Civil Code and the French Consumer Code.
In all cases, you may at any time withdraw your consent and ask to be removed from the Le Domaine de la Chapelle Newsletter by clicking on the link contained in the messages sent to you. In this case, your Personal Data will be destroyed within a maximum of 1 month from your request to unsubscribe.

- Customer account data : Customer Account Data is kept for the time strictly necessary to manage the commercial relationship.

Beyond the duration of the commercial relationship with the customer, certain data may be archived in accordance with the provisions in force (in particular, but not exclusively, those set out in the French Commercial Code, the French Civil Code and the French Consumer Code)

In addition, customer data used for commercial prospecting purposes may be kept for a period of 8 years from, for example, the last purchase, the last contact from the customer or the request to delete the customer's account.

At the end of this 8-year period, Le Domaine de la Chapelle may contact the customer again to find out whether he/she wishes to continue receiving commercial solicitations. In the absence of a positive and explicit response from the customer, the data will be archived, where applicable, in accordance with the provisions in force, and in particular those set out in the French Commercial Code, the French Civil Code and the French Consumer Code.

- Connection data: your connection logs collected, subject to your consent and the settings of your terminal, via the use of cookies and other tracers placed on our Site, will be kept in accordance with applicable regulations for a period not exceeding thirteen (13) months. 6. SECURITY MEASURES

Domaine de la Chapelle implements appropriate technical, organizational and physical security measures to protect processed personal data against accidental or unlawful damage, loss, misappropriation, intrusion, disclosure, alteration, destruction or unauthorized access to such data.

Domaine de la Chapelle's IT systems are protected by state-of-the-art physical and software security measures, and physical and electronic data backup procedures are implemented. The same level of protection is imposed by Domaine de la Chapelle on its subcontractors.

7. RIGHTS OF INDIVIDUALS WITH REGARD TO DATA COLLECTED


You have the right to request i) access to and rectification of Your Data, ii) limitation of the processing of Your Data, or iii) deletion of Your Data, and iv) to withdraw your consent to the processing of Your Data on this legal basis.

You may exercise your right to object to the processing of Your Data for commercial prospecting purposes. If You are concerned by email prospecting, You can also modify or unsubscribe from the Newsletter by clicking on the "Unsubscribe" hypertext link present in each newsletter.

You can define directives relating to the conservation, deletion and communication of Your Personal Data after Your death. These directives may be general or specific.
